1. Agreement to Terms

By accessing or using Vertos AI's automation platform for trade contractors ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not access the Service.

These Terms apply to all users, including visitors, registered users, and enterprise customers. Enterprise agreements may supersede certain provisions where explicitly stated.

2. Description of Service

Vertos AI provides:

  • AI-powered job scheduling and dispatch optimization
  • Automated customer follow-ups and communications
  • Invoice automation and payment processing
  • Technician performance dashboards and analytics
  • Integration APIs for business systems

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect at any time with reasonable notice.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to bind your organization (if applicable).

3.2 Account Security

  • You are responsible for maintaining account credentials securely
  • You must notify us immediately of unauthorized access
  • You are responsible for all activities under your account
  • We recommend enabling multi-factor authentication

3.3 Accurate Information

You agree to provide accurate, current, and complete registration information and to update it as necessary.

4. Acceptable Use Policy

You agree NOT to:

  • Use the Service for illegal purposes or to facilitate illegal activities
  • Upload malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems (bots, scrapers) without written permission
  • Resell or redistribute the Service without authorization
  • Upload data you do not have rights to process
  • Circumvent usage limits, rate limits, or security measures
  • Use the Service to compete with Vertos AI
  • Harass, abuse, or harm other users or our staff

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to the Service ("Your Data"). By uploading, you grant us a limited license to process Your Data solely to provide the Service.

5.2 Your Responsibilities

  • You are responsible for the legality, accuracy, and appropriateness of Your Data
  • You must have all necessary rights and consents to upload Your Data
  • You are responsible for maintaining backups of Your Data

5.3 Data Processing

We process Your Data as described in our Privacy Policy. Enterprise customers may enter into a separate Data Processing Agreement.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, AI models, algorithms, and documentation, is owned by Vertos AI and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission.

6.2 Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

7. Fees and Payment

7.1 Pricing

Certain features require paid subscriptions. Prices are listed on our pricing page and may change with 30 days' notice.

7.2 Payment Terms

  • Payments are processed through our payment provider (Stripe)
  • Subscriptions renew automatically unless cancelled
  • All fees are exclusive of taxes unless stated otherwise
  • Refunds are provided according to our refund policy

7.3 Non-Payment

We may suspend or terminate access for non-payment. You remain liable for all charges incurred before termination.

8. AI and Automated Processing

Important Notice: Our Service uses artificial intelligence to automate scheduling, dispatch, and communication workflows. While we strive for accuracy, AI-generated recommendations should be reviewed before taking action.

  • AI outputs are advisory and do not constitute professional advice
  • You are responsible for verifying AI-generated schedules and communications
  • We do not guarantee the accuracy of AI predictions or optimizations
  • Human oversight is recommended for all critical decisions

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • ACCURACY OR COMPLETENESS OF INFORMATION

We do not warrant that AI-generated scheduling or automation will be accurate, complete, or suitable for your specific business needs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTOS AI SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Vertos AI and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data or content you upload

12. Termination

12.1 By You

You may terminate your account at any time through account settings or by contacting support.

12.2 By Us

We may suspend or terminate your access if:

  • You violate these Terms
  • Your use poses a security risk
  • Required by law
  • Your account is inactive for 12+ months (with notice)

12.3 Effect of Termination

Upon termination, your access ends immediately. We will retain Your Data for 30 days to allow export, then delete it according to our retention policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration under the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations.

13.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Vertos AI
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect
  • No Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: We are not liable for failures due to circumstances beyond our control

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance.
